Terms of Service

1. Agreement to terms
By accessing or using StellarReply (the "Service"), operated by OpsLifeUK Limited ("we", "us", "our"), you ("you", "the user") agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.
These terms apply to all users of the Service, including business owners, employees, and any other individuals who access the platform.
2. Service description
StellarReply is an AI-powered review management platform that helps businesses manage and respond to their Google reviews. The Service provides:
- A centralised dashboard to view Google reviews across your business locations
- AI-generated draft responses to customer reviews
- The ability to review, edit, and approve responses before they are published
- Posting of approved responses to Google on your behalf
- An optional Autopilot mode that can automatically generate and post responses on your behalf after a configurable delay period
The Service requires you to connect your Google Business Profile via OAuth authorisation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Accounts & registration
To use StellarReply, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access
You must be at least 18 years old and have the legal authority to enter into these terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these terms.
4. Subscriptions & billing
StellarReply is offered as a paid subscription service. By subscribing, you agree to the following:
- Subscription fees are charged monthly in advance via Stripe.
- Prices are displayed in GBP and are inclusive of VAT where applicable.
- Your subscription will automatically renew each month unless you cancel before the next billing date.
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time.
- We reserve the right to change subscription pricing with 30 days' written notice. Continued use after the price change constitutes acceptance.
If payment fails, we may suspend your access to the Service until the outstanding balance is resolved.
5. Google Business Profile integration
To use StellarReply, you must authorise access to your Google Business Profile via OAuth 2.0. By doing so, you confirm that:
- You are the owner or an authorised manager of the Google Business Profile(s) you connect.
- You consent to StellarReply retrieving your reviews and posting approved responses on your behalf.
- You understand that StellarReply only accesses review-related data and does not modify your business profile information, posts, or photos.
You may revoke StellarReply's access at any time through your Google Account permissions or from within the StellarReply settings. Revoking access will prevent the Service from retrieving new reviews or posting responses.
Our use of Google API data is governed by our Privacy Policy and complies with the Google API Services User Data Policy, including the Limited Use requirements.
6. AI-generated content
StellarReply uses artificial intelligence to generate draft responses to your reviews. It is important to understand:
- Drafts by default. AI-generated responses are suggestions. By default, they require your manual review and approval before being published to Google.
- Autopilot mode. If you enable the Autopilot feature, AI-generated responses may be posted automatically on your behalf after an optional delay period that you configure. You can disable Autopilot at any time from your Connections settings. You acknowledge that enabling Autopilot means responses may be published without your individual review.
- Your responsibility. Whether posted manually or via Autopilot, all responses become your content once published. You are solely responsible for the accuracy, appropriateness, and legality of all responses posted through the Service, whether AI-generated or manually written.
- No guarantees. AI-generated content may occasionally be inaccurate, inappropriate, or unsuitable for your business context. We recommend reviewing your Autopilot responses regularly.
- No professional advice. AI-generated responses do not constitute legal, medical, financial, or other professional advice.
7. Acceptable use
You agree not to use the Service to:
- Post responses that are defamatory, abusive, threatening, or unlawful
- Violate any applicable laws, regulations, or third-party rights
- Manipulate, spam, or abuse the Google review system
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Interfere with the security or performance of the Service
- Share your account credentials with unauthorised third parties
- Use the Service for any purpose other than managing legitimate business reviews
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
8. Intellectual property
The StellarReply platform, including its design, code, branding, and documentation, is the intellectual property of OpsLifeUK Limited. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.
You retain ownership of your business data, including your Google reviews and the responses you create or approve through the Service. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing the Service.
9. Limitation of liability
To the fullest extent permitted by law:
- The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
- We are not responsible for any actions taken by Google, including changes to the Google Business Profile API, review policies, or account suspensions.
- Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Termination
You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.
We may terminate or suspend your account immediately if you breach these terms, engage in fraudulent or abusive behaviour, or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days in accordance with our Privacy Policy, except where retention is required by law.
11. Changes to terms
We may update these Terms of Service from time to time. If we make material changes, we will notify you by email or through a notice within the application at least 14 days before the changes take effect.
Your continued use of the Service after the updated terms take effect constitutes acceptance. If you do not agree to the updated terms, you must stop using the Service and cancel your subscription.
12. Governing law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
